Terms of Service

1. Service Description

CleverTalk is an artificial intelligence-powered audio transcription platform that transforms voice recordings into intelligent, actionable documents. Our services include:

• Automatic audio-to-text transcription using AI technology
• Intelligent content generation (summaries, meeting minutes, reports)
• Emergent suggestions based on contextual conversation analysis
• Management of recordings and generated documents
• Support for multiple languages (Spanish, English, Portuguese, and others)

2. Eligibility and Account Creation

Minimum Age Requirements:

• European Union: 16 years or older (or with parental consent)
• United States: 13 years or older (or with parental consent if under 18)
• Brazil: 18 years or older (or with parental consent)

When creating an account, you must provide accurate information, keep your account updated, and are responsible for all activity on your account.

3. Subscription Plans and Pricing

3.1 Plan Types

Free Plan:

• 300 monthly minutes included
• No credit card required
• Minutes renew automatically each month
• Unused minutes DO NOT roll over

Paid Plans (EUR prices include VAT; for USD prices applicable taxes may be added at checkout; in the iPhone app the price shown by the App Store applies):

• Pro Monthly: €9.99/month — 2,000 transcription minutes per month and all Pro features
• Pro Annual: €59.99/year (equivalent to €4.99/month) — 2,000 minutes per month
• Unlimited Monthly: €14.99/month — unlimited transcription (fair use, up to 24 h of audio per day)
• Unlimited Annual: €99.99/year

Subscriptions renew automatically at the end of each period until you cancel. Existing subscribers keep the price they subscribed at.

3.2 Passes (no automatic renewal)

• Exams Pass: €12.99 — Pro for 30 days
• Semester Pass: €29.99 — Pro for 150 days
• Course Pass: €49.99 — Pro until 30 June of the academic year (if bought between July and December, until 30 June of the following year; minimum 30 days)

Passes are a one-time payment and do not renew. They include 2,000 minutes every 30 days while active. When a pass ends, the account returns to the Free Plan; your recordings and notes are kept.

3.3 Free Trial with a Payment Method

• You can try Pro free of charge once per person, account and payment method. The trial lasts 30 days (if started between 1 September and 15 November or between 1 February and 30 April) or 7 days (rest of the year). The exact duration and end date are shown before you start.
• During the trial you get 1,200 transcription minutes.
• You must add a payment method (card via Stripe, or your Apple ID in the iPhone app). Nothing is charged during the trial. When the trial ends, the plan you chose (Pro Monthly €9.99/month or Pro Annual €59.99/year) is charged automatically and renews unless you cancel before the trial ends.
• We remind you by email and in-app notification before the first charge (around day 25 of a 30-day trial, or 2 days before the end of a 7-day trial), with the date and the amount.
• You can cancel at any time during the trial in 2 clicks (see section 4) and nothing will be charged.
• Alternatively, you can try Pro for 7 days without a payment method (300 trial minutes). At the end the account returns to the Free Plan with no charge. If you start the trial with a payment method during those 7 days, the total trial lasts 30 days from the start of the trial without a card.
• Accounts that have already paid for CleverTalk or already used a trial are not eligible.

3.4 Minutes Management

• 1 minute of audio = 1 transcription minute consumed
• Minutes reset monthly on the renewal date (annual plans and passes: every 30 days)
• Re-processing already transcribed audio DOES NOT consume additional minutes
• Manually editing transcriptions DOES NOT consume minutes

3.5 Professional Plan and Consulta Module

Professional Plan: €24.99 per month or €199 per year (equivalent to €16.58/month) plus applicable VAT. Professional prices are shown without taxes: VAT is calculated and added at checkout according to your country and tax status. When subscribing you can enter your VAT ID / tax number and you will receive an invoice with your business details for every charge. It includes 6,000 transcription minutes per month (annual plans receive them every 30 days), every Pro feature and the Consulta module. It has the same free trial with a payment method as the Pro plan (30 or 7 days depending on the time of year, with 1,200 minutes during the trial); one trial per person and account. In the iPhone app the price shown by the App Store applies (€29.99/month or €239.99/year). It renews automatically until you cancel (section 4). If you have a paid Pro or Unlimited plan you can move to Professional from the app or the website; the unused part of your current plan is credited.

Recorder + 3 months pack: when you redeem the Amazon code of a veterinary pack (CleverTalk recorder + 3 months of Professional) you get 90 days of the Professional plan with no card required; when it ends, the account returns to the Free plan unless you subscribe. This pack does not include the 3 years of unlimited transcription of the recorder welcome promotion.

Consulta module (professionals: veterinarians and, later, other practices): CleverTalk documents the visit from the recording. The AI organises and summarises what was said during the visit (reason, examination, treatment indicated, instructions for the owner, next visit) and produces an owner sheet with that information. CleverTalk does NOT diagnose, does NOT suggest tests or treatments and does NOT replace the professional's judgement: every note is created as a "draft" and it is the professional who reviews, corrects and marks it as reviewed before using or sharing it. Responsibility for the clinical content, the patient record and what is handed to the owner lies solely with the professional. Owner data (name, phone, email) are personal data: the professional is the data controller and CleverTalk processes them as a processor in accordance with the Privacy Policy.

Owner consent: before recording a visit the professional must inform the owner or client that it is being recorded to prepare their notes and obtain consent where the law requires it. In Germany and France recording a conversation without the consent of the participants is a criminal offence (§ 201 StGB; art. 226-1 Code pénal). The app shows this notice before the first recording with the Consulta profile and records that you have read it. CleverTalk is not responsible for recordings made without the appropriate consent.

4. Cancellations, Right of Withdrawal and Refunds

How to Cancel (2 clicks):

• From the app: Settings > Subscription > Cancel subscription > Confirm
• On the web, also without logging in: api.clevertalk.ai/cancel-subscription (Germany: Verträge hier kündigen)
• Subscriptions bought in the iPhone app are billed by Apple: cancel them in iPhone Settings > your name > Subscriptions
• By email: info@clevertalk.ai with subject "Cancel subscription"

The cancellation takes effect at the end of the current billing period (or of the trial). You keep access until then and nothing else is charged. We confirm every cancellation by email.

Right of Withdrawal (EU consumers):

If you are a consumer in the European Union you may withdraw from the contract within 14 days of concluding it, without giving any reason, by sending a clear statement to info@clevertalk.ai. CleverTalk is a digital service that is provided immediately: when you subscribe or buy a pass you expressly request that the service starts right away and you acknowledge that you lose your right of withdrawal once you start using the service. If you withdraw before using it, we refund the full amount within 14 days.

Refund Policy:

Monthly Plans: NOT refundable

Passes: NOT refundable once used (see right of withdrawal)

Annual Plans: Prorated refunds available if:

• Cancel within first 30 days
• Consumed less than 10% of annual minutes
• First annual subscription (not renewal)

Nothing in these terms limits your statutory consumer rights.

5. Acceptable Use

✅ Permitted Uses:

• Transcription of work meetings (with consent)
• Recording of journalistic interviews (with consent)
• Documentation of medical or legal consultations (with consent)
• Recording of classes, lectures or conferences ONLY with the permission of the teacher or speaker (see section 6)
• Transcription of podcasts or own media content
• Personal voice notes

❌ Prohibited Uses:

• Recording conversations without required consent
• Violating privacy or data protection laws
• Harassment, threats, extortion, or intimidation
• Distributing copyrighted content without authorization
• Sharing, publishing or selling recordings, transcriptions or notes of classes or of other people without their permission
• Reverse engineering or decompiling the application
• Creating multiple accounts to circumvent limitations
• Generating deepfake audio with intent to deceive
• Hate speech, racism, or discrimination

6. User Responsibility in Recordings

Recording Laws by Jurisdiction:

• EU/Spain: Generally requires consent from ALL parties
• USA: Varies by state - some require one-party consent, others all-party
• Brazil: Requires consent from at least one party

Recording Classes and Lectures:

• Record a class only with the permission of the teacher or lecturer (and, where applicable, of the institution and of classmates who speak).
• Germany: recording the non-public spoken word without consent is a criminal offence (§ 201 StGB, violation of the confidentiality of the spoken word). Always obtain the teacher's express consent before recording.
• Recordings of classes and the notes generated from them are for your personal study only. Sharing, publishing or selling them is prohibited.

CleverTalk is NOT responsible for recordings made without appropriate consent.

7. Use of Artificial Intelligence

AI Technologies Used:

• AssemblyAI: Automatic speech recognition for transcription
• OpenAI: Content generation (summaries, minutes, suggestions)

Accuracy Limitations:

• Estimated accuracy is 85-95%, NOT 100%
• Technical terms, proper names, or jargon may be transcribed incorrectly
• Summaries and suggestions are guidance, NOT binding
• Generated content requires human review
• Generated content DOES NOT constitute legal, medical, or financial advice

Content Ownership:

• YOU retain ALL rights over your original audio recordings
• YOU retain ALL rights over generated transcriptions and documents
• CleverTalk DOES NOT claim ownership over your content
• We DO NOT use your content to train AI models

8. Intellectual Property

All intellectual property rights over the Platform (trade name, logos, UI/UX design, source code, algorithms) are owned by Duckdik SLL.

9. Privacy and Data Protection

The processing of your personal data is governed by our Privacy Policy.

10. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

Maximum Liability: The greater of (1) the amount you paid in the last 12 months, or (2) €100.

11. Termination

You may terminate your account at any time via Settings > Account > Delete account or by emailing info@clevertalk.ai.

We may suspend or terminate your account for Terms violations, payment failure, or fraudulent activity.

12. Governing Law

• EU/Spain Users: Laws of Spain, Courts of Madrid
• California Users: Laws of California, Courts of Los Angeles County
• Brazil Users: Laws of Brazil, Courts of consumer's domicile

13. Changes to These Terms

We may modify these Terms at any time. For material changes, we will notify you by email at least 30 days before they take effect.
